Quilt Guild
is a non-profit 501(c)3 organization incorporated in Washington State.


Walla Walla Valley Quilt Guild Bylaws

Article I - Name:
The name of this organization shall be Walla Walla Valley Quilt Guild.
Article II - Purpose:
The purpose of the Guild is to contribute to the growth and knowledge of quilting techniques, patterns, history, and quiltmaking by providing educational meetings, fun and fellowship; to sponsor and support quilting activities, to encourage quiltmaking and collecting, and to promote the knowledge and enjoyment of fine quilting.
Article III - Membership:
Those persons promoting the objectives of the Walla Walla Valley Quilt Guild shall be eligible for membership. Membership is on a calendar year basis, starting January 1 and ending on December 31.

Article IV - Officers:
The elected officers of this organization shall consist of Guild Chairperson, Chair Elect, Recording Secretary, and Treasurer.

1. The Chairperson shall preside at all meetings of the organization and shall appoint committee chairs. The Chair-Elect shall conduct the business of the club during the absence of the Chairperson. If the office of Chairperson becomes vacant, the Chair-Elect shall become Chair.

2. The Recording Secretary shall keep records of all meetings and conduct all correspondence.

3. The Treasurer shall keep an account of all money received and pay all bills.

4. There shall be a Guild Historian
The above officers may serve for three consecutive terms.

Article V. - Standing Committees:
The standing committees will consist of Publicity, Newsletter, and Programs.

1. Each committee will have a minimum of three members and a maximum of seven.

2. AdHoc committees may be created by the Chairperson or membership, as needed.

Article VI - Non-Profit Status:
This organization shall not be for profit and no part of its assets shall benefit any individual member, but shall be used exclusively for the purposes of the organization.
